Terms and Conditions

1. Agreement

These Terms and Conditions (“Terms”) are a legally binding agreement between you and Youbairia, operated from Dehradun, Uttarakhand, India (“Youbairia”, “we”, “us”). They govern access to youbairia.com and related apps, APIs, checkout, seller tools, campaigns, communities, the AI store builder, and Youbairia Pay enquiry pages (together, the “Platform”).

These Terms govern your use of the Platform. When you create an account or use a feature that asks you to accept them, your acceptance is recorded. Simply visiting a public page does not record your agreement. The related policies are the Privacy Policy, the Cancellation and Refund Policy, and the Shipping and Delivery Policy. If you do not agree, do not use the Platform.

If you use Youbairia for a business, you confirm you have authority to bind that business. You must be at least 18 years old and capable of entering a contract under Indian law. By creating an account or completing checkout you also accept the Privacy Policy as the DPDP notice for specified purposes. Optional marketing needs a separate opt-in.

2. Who we are (and who we are not)

Youbairia is an online marketplace and software platform. Except where we clearly sell a first-party Youbairia product, we are an intermediary: we host listings, stores, campaigns, and communities created by independent users. We are not the manufacturer, publisher, employer, payment bank, or escrow agent of third-party sellers, campaign owners, or community hosts unless we expressly say so in writing.

Youbairia is not a bank, NBFC, prepaid instrument issuer, or authorised payment system operator under the Payment and Settlement Systems Act, 2007. Payments are facilitated by third-party payment service providers and are subject to their applicable terms. Any cross-border payment features described on this site are exploratory and are not a live or guaranteed service unless offered under separate written terms.

3. Accounts

• Provide true, current information. We may refuse, suspend, or delete accounts.
• You are responsible for credentials, devices, and all activity under your account.
• Tell us promptly at sajjad@youbairia.com if you believe your account or payment information was used without authority.
• We may require identity, tax, or business checks before payouts, seller privileges, or campaign features. False documents are grounds for immediate termination and reporting.
• Drafts created before sign-in (including AI store drafts) become part of your account when you register from the same browser or session, subject to these Terms.
• You confirm you are at least 18. False age declarations are a material breach.

3A. Personal data (DPDP)

Youbairia is a Data Fiduciary under the Digital Personal Data Protection Act, 2023. You must not upload other people’s personal data (including in AI prompts, listings, or community posts) unless you have a lawful basis to do so.

If we give you another user’s data (for example a buyer email to deliver a product), you use it only to fulfil that order or relationship, keep it secure, and must not sell, scrape, or spam it. Breach of this clause is grounds for immediate suspension and may be reported to authorities.

Data Principal rights, retention, and our Grievance Officer are described in the Privacy Policy and on /privacy-requests. Closing an account does not erase tax, order, or fraud records that Indian law requires us to keep.

4. Marketplace, stores, and digital products

Sellers and store operators

If you list a product, open a store, or sell software, courses, files, community access, or other digital goods, you alone warrant that you have all rights to offer them, that descriptions and pricing are accurate, that delivery works as described, and that the offer complies with Indian law and the laws of every place you target. You must honour licences you publish and provide reasonable support to your buyers.

Before a listing can be submitted, you must provide a truthful business or correspondence address and customer support email for display to buyers. Keep seller, pricing, delivery, licence, and refund details accurate and current. You may use an address suitable for customer correspondence; do not submit an address you are not authorised to disclose.

You grant Youbairia a worldwide, royalty-free licence to host, display, promote, and technically adapt your listings and media so the Platform can operate (including thumbnails, search, and backups). You keep ownership of your content.

Buyers

Digital products are generally delivered electronically after payment is confirmed. Access may depend on your account remaining in good standing. Licence terms of the seller apply in addition to these Terms. You must not reverse engineer, redistribute, or resell products except as the licence allows.

We do not guarantee fitness, earnings, results, or uninterrupted access to any third-party product. Review listings before you pay. Refunds, if any, follow the Cancellation and Refund Policy and may be refused after access or download where the law allows.

5. Payments, taxes, and marketplace commission

Creating a store and listing products is free. There is no Youbairia subscription fee. Payments are processed by third-party payment service providers, whose terms may also apply.

Youbairia charges the seller a 10% marketplace commission on each completed product sale. This commission is calculated on the product subtotal and is not an extra buyer-side fee. The product price and any applicable product tax are shown separately at checkout. Payment timing and eligibility are subject to the applicable seller terms.

Sellers are responsible for determining and reporting applicable GST and other taxes, maintaining required registrations, and issuing compliant invoices. Any seller-configured product tax rate is not tax advice and must reflect the applicable law; tax rates can vary by product and transaction. Payment service fees, where applicable, are separate from Youbairia's 10% commission.

Refunds and chargebacks are subject to the seller's stated policy, applicable law, and the payment gateway's rules. We may revoke product access after a refunded or reversed payment and adjust the associated marketplace commission.

6. Campaigns and content rewards

Campaigns are invitations to create content under a brief. Joining is not employment, partnership, or a guaranteed payout. Approval, rejection, and payment of rewards sit with the campaign owner and/or Youbairia as stated in the campaign. Fake views, bots, purchased engagement, misrepresentation, or off-brief work may be rejected, clawed back, and may lead to a ban.

You grant the campaign owner and Youbairia a licence to use submitted work for review, fulfilment, and legitimate promotion of the campaign, unless the brief says otherwise. You confirm you own or control that work and that it does not infringe third-party rights.

7. Communities

Community hosts set additional rules. Posts, files, and messages are user content. We may remove content, mute users, or close a community to protect the Platform, comply with law, or enforce these Terms. We are not responsible for advice, deals, or harm that occurs among members, including off-platform chats (Telegram, WhatsApp, or similar) even if a link was shared on Youbairia.

8. AI store builder and generated output

AI features (including store drafts, copy, and imagery suggestions) are assistive tools. Output can be wrong, generic, or similar to other users’ results. You must review and edit before publishing. You are solely responsible for the store, products, claims, and IP you publish. We do not warrant that AI output is unique, non-infringing, or fit for a particular business.

Prompts and drafts may be processed by us and by third-party model providers to generate a response. Do not submit secrets, other people’s personal data, or content you are not allowed to use. We may refuse or rate-limit AI use.

9. Youbairia Pay (exploratory)

Pages under /pay describe a possible cross-border collection product we are exploring. Submitting a demo form is a request for a conversation, not an application approval, KYC completion, rate lock, or service contract. Nothing on those pages is an offer of payment services, FX rates, availability, or regulatory status.

If a live Pay product launches, it will have its own eligibility, pricing, and onboarding. Until then, these Terms exclude any claim that Youbairia failed to provide international payments, banking, or payment services.

10. Acceptable use

You must not, and must not allow others to:

• Break applicable law, including IT Act, 2000; copyright; consumer; tax; and sanctions rules.
• Offer illegal goods, malware, stolen data, counterfeit licences, adult sexual content involving minors, weapons, or other prohibited categories we publish.
• Scrape, overload, reverse engineer, or probe the Platform except as allowed by law.
• Bypass paywalls or abuse coupons, refunds, or campaign budgets.
• Harass users, spam, impersonate Youbairia, or post defamatory or hateful content.
• Use the Platform to compete by systematically copying listings or user data.

We may remove listings, freeze payouts, cancel orders, and cooperate with law enforcement where we reasonably believe these rules or the law were broken.

11. Intellectual property and complaints

Youbairia names, logos, layout, and software are ours or our licensors’. You may not copy them. Repeat copyright or trademark infringement can lead to account termination. To report infringement, email sajjad@youbairia.com with the work, the URL, your contact details, and a good-faith statement that use is unauthorised. We may share the notice with the poster. Court or government orders will be actioned as required by Indian law, including the Information Technology Act, 2000 and applicable intermediary rules.

12. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness, title, quiet enjoyment, and non-infringement. We do not warrant that the Platform will be error-free, secure, or always online, or that listings, AI output, or campaign results are accurate.

Third-party sites, Telegram groups, payment apps, model providers, and hosting partners have their own terms. Your use of those services is at your risk.

13. Limitation of liability

To the maximum extent permitted by applicable law (including the Consumer Protection Act, 2019, which may preserve certain non-excludable rights for consumers), Youbairia and its operators, officers, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, data, goodwill, or business; or procurement of substitute services, even if advised of the possibility.

Our total liability for all claims arising out of the Platform in any twelve-month period is limited to the greater of (a) the fees you actually paid to Youbairia for Platform services (excluding amounts paid onward to sellers or campaign owners) in that period, and (b) INR 5,000. These caps do not apply to liability that cannot be limited by law, or to our fraud or wilful misconduct.

We are not liable to buyers for third-party product quality except to the extent the law requires an e-commerce marketplace to facilitate a remedy. We are not liable to sellers for lost sales due to moderation, downtime, or payment holds reasonably taken against risk.

14. Indemnity

You will defend and indemnify Youbairia and its operators against claims, losses, fines, and reasonable legal fees arising from: your content or products; your tax or regulatory failures; your campaign or community conduct; your breach of these Terms; or your infringement of third-party rights — except to the extent caused by our wilful misconduct.

15. Suspension and closure

We may suspend or end access immediately for risk, legal demand, inactivity, under-age use, or breach. You may close your account from your profile or by contacting us, subject to open orders, payouts, and legal retention. We may retain records as described in the Privacy Policy. Outstanding fees remain due.

16. Disputes and governing law

Contact sajjad@youbairia.com first and allow a reasonable time to resolve the issue. These Terms are governed by the laws of India. Subject to any non-excludable consumer forum rights, courts at Dehradun, Uttarakhand, India have exclusive jurisdiction.

17. Changes

We may update these Terms. The “Last updated” date will change. Material changes may also be flagged in the product or by email. Continued use after the effective date is acceptance. If you disagree, stop using the Platform and close your account.
